1. Agreement to Terms
By accessing or using Zignni (the "Platform"), operated by HLKON, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Platform.
2. Description of Service
Zignni is a digital network that connects artists with digital providers for licensing, distribution, and copyright protection. The Platform facilitates the creation of verified artist profiles, digital provider onboarding, contract management, and proof pack generation.
3. Authentication & Accounts
The Platform uses FedCM (Federated Credential Management) through Google for authentication. By signing in, you authorize the Platform to receive your basic profile information (name, email, profile photo) from Google. You are responsible for maintaining the security of your account and for all activities that occur under your credentials.
4. Digital Provider Terms
Digital Providers accessing the Platform agree to: (a) provide accurate company and legal information during onboarding; (b) maintain valid business credentials; (c) respect the intellectual property rights of artists on the Platform; (d) honor all contractual agreements established through the Platform. Provider status may be revoked for violations of these terms.
5. Artist Terms
Artists using the Platform agree to: (a) provide accurate identity and legal information; (b) ensure they hold the rights to all content uploaded; (c) review and understand all contractual terms before signing; (d) comply with applicable copyright and intellectual property laws.
6. Intellectual Property
All content uploaded to the Platform remains the property of the respective rights holders. The Platform does not claim ownership over user-generated content. By uploading content, you grant the Platform a limited license to display and distribute it in accordance with your provider agreements.
7. Prohibited Conduct
You agree not to: (a) use the Platform for any unlawful purpose; (b) upload content that infringes on third-party rights; (c) attempt to circumvent security measures; (d) impersonate another person or entity; (e) interfere with the Platform's operation; (f) use automated systems to access the Platform without authorization.
8. Limitation of Liability
The Platform is provided "as is" without warranties of any kind. HLKON shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of the Platform. Our total liability shall not exceed the amount paid by you, if any, for accessing the Platform during the twelve months preceding the claim.
9. Termination
We reserve the right to suspend or terminate your account at any time for violations of these terms. You may delete your account at any time. Upon termination, your right to access the Platform ceases immediately. Contractual obligations established through the Platform survive termination.
10. Governing Law
These terms shall be governed by and construed in accordance with applicable law. Any disputes arising from these terms shall be resolved through binding arbitration.
